Terms of Service

These Terms of Service (“Terms”) govern your use of the websites, mobile applications and services (collectively, the “Platform”) provided by Rolodeck Pte Ltd (“we”, “us”, “our” or “Rolodeck”).

Platform Disclaimer

Rolodeck provides a platform for startup fundraising, mentorship, networking, and investor matchmaking, but does not provide investment advice, legal advice, financial advisory services, or any recommendation regarding specific investments, securities, or projects. The Platform is a tool for users to interact, connect, and engage with one another, but Rolodeck is not involved in any investment decisions or transactions between users.

Rolodeck does not engage in the provision of investment advice. Any investments made by users are made at their own discretion and risk. Users are strongly encouraged to seek professional financial advice before making any investment decisions.

The Platform facilitates connections but does not guarantee the success or failure of any investment. Rolodeck does not make any representations or warranties about the potential returns of any investments, the solvency of companies, or the accuracy of information shared by users.

Use Of The Platform

Subject to your compliance with these Terms, Rolodeck grants you a limited, non-exclusive, revocable (with or without cause), non-transferable right and license to use the Platform.

You shall use the Platform in accordance with these Terms and shall not:

upload or communicate any Content (as defined below) that violates or infringes another party’s rights of publicity, privacy, copyright, trademark or any other intellectual property right.
copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt, interfere with, or disrupt the integrity or the performance of the Platform.
make any modification, adaptation, improvement, enhancement, translation or derivative work from the Platform.
violate any applicable laws, rules or regulations in connection with your access or use of the Platform.
use the Platform in violation of or to circumvent any sanctions or embargo.
remove, alter or obscure any proprietary notice (including any notice of copyright and trademark) of Rolodeck or its affiliates, partners, suppliers or licensors.
use the Platform for any purpose for which it is not designed or intended.
use the Platform to create or promote a product, service or software that is, directly or indirectly, competitive with or in any way a substitute for the Platform or any services, product or software offered by Rolodeck.
use any proprietary information or interfaces of Rolodeck or any other intellectual property of Rolodeck in the design, development, manufacture, licensing or distribution of any application, accessories or devices for use with the Platform.
use the Platform to send, post, or otherwise communicate any Content which is false, offensive, indecent, threatening, abusive, insulting, harassing, defamatory, libellous, deceptive, infringing, fraudulent, tortious, obscene, profane, invasive of another person’s privacy, or racially, ethnically or otherwise objectionable.
use the Platform to send automated, unsolicited or unauthorised messages, advertising or promotional material or any junk mail, spam or chain letters.
upload to, or transmit through the Platform any data, file, software or link that contains or redirects to a virus, Trojan horse, worm or other harmful components.
use any scraper, robot, bot, spider, crawler or any other automated device or means to access, acquire, copy or monitor any portion of the Platform, or any data or content found or access through the Platform.
collect any information in respect of other users without their consent.
commit any act to avoid paying any applicable fees and/or charges.
attempt to and/or engage in any activity or act that is intended to abuse, abuses or inappropriately manipulates the financial matchmaking service offered through the Platform. Such acts and activities include but are not limited to: creating fake or duplicate accounts; providing false financial information.
allow your use of the Platform to present to Rolodeck a risk of non-compliance with anti-money laundering, counter terrorist financing and similar regulatory obligations.
authorise or encourage anyone to do any of the foregoing.

Account

You would need to have an account with Rolodeck in order to use the Platform. When you create an Account as either an Investor or Company, you represent and warrant that:

If you are a natural person, you are at least 18 years of age;
If the user is a company, organisation or any other legal entity (“Entity”), it has full capacity, authority and all necessary licences, permits and consents to enter into and to exercise the rights, and perform its obligations under, the Terms and that you have authority to bind the Entity to these Terms;
The user has full capacity, authority and all necessary licences, permits and consents to enter into and to exercise the rights, and perform its obligations under, the Terms;
All information which you provide is accurate, up to date, truthful and complete.

Customer Due Diligence

To comply with applicable laws, including anti-money laundering (AML) and counter-terrorist financing (CTF) regulations, Rolodeck requires all users to complete Customer Due Diligence (CDD) procedures:

Identity Verification: Users must provide accurate and up-to-date identification documents, proof of address, and other relevant information for verification purposes. Non-compliance may result in restricted access or account suspension.
Enhanced Due Diligence: Rolodeck reserves the right to conduct additional checks for higher-risk users or transactions. This may include further documentation or interviews.
Ongoing Monitoring: Rolodeck may periodically review accounts to ensure compliance with regulatory obligations. Accounts that fail to meet these requirements may be suspended or terminated without prior notice.

Fees And Payments

Rolodeck charges fees for certain services provided on the Platform, such as premium matchmaking features or visibility tools:

Fee Structure: All applicable fees are displayed on the Platform and are subject to change with prior notice. Users will be informed of any fee revisions via email or platform notifications.
Payment Terms: Payments must be made through approved methods within the stipulated timeframe. Late payments may incur additional charges or interest.
Refund Policy: Unless otherwise stated, all payments are final and non-refundable, except in cases where services are not delivered due to Rolodeck’s fault.
Third-Party Charges: Users are responsible for any additional fees incurred during transactions, such as currency conversion or payment processing fees.

Content

Users retain ownership of any content they upload to the Platform but grant Rolodeck a non-exclusive, worldwide license to use, display, reproduce, and distribute such content for operational purposes:

Content Standards: Users must ensure that their content complies with intellectual property laws and does not violate third-party rights.
Content Moderation: Rolodeck reserves the right to remove or restrict access to any content deemed inappropriate, offensive, or in violation of these Terms without prior notice.
AI-Assisted Content Review: Content submitted may be reviewed using automated tools for moderation purposes.

Termination

Rolodeck reserves the right to suspend or terminate user accounts under the following circumstances:

Breach of these Terms or applicable laws.
Failure to comply with CDD/AML requirements.
Non-payment of fees owed to Rolodeck.
Misuse of the Platform or fraudulent activities.

Upon termination:

Users lose access to their accounts and associated data.
Limited access may be granted temporarily for users to retrieve transaction records before permanent closure.

Limitation Of Liability

To the extent permitted by law, Rolodeck disclaims liability for:

Losses resulting from user interactions or transactions facilitated through the Platform.
Errors, interruptions, or delays in service delivery.
Reliance on information shared by other users.

Rolodeck’s total liability shall not exceed the amount paid by the user for services within the preceding 12 months.

Indemnity

Users agree to indemnify Rolodeck against any claims, damages, losses, liabilities, costs, and expenses arising from:

Breach of these Terms by the user.
Misrepresentation or fraudulent activities conducted through the user’s account.
Third-party claims related to content submitted by the user.

Governing Law

These Terms are governed by the laws of Singapore. Any disputes arising under these Terms shall be resolved exclusively in Singapore courts.

Changes To Terms

Rolodeck reserves the right to amend these Terms at its sole discretion:

Material changes will be communicated via email or notifications on the Platform before taking effect.
The “Last Updated” date will reflect when changes become effective.
Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. Users who do not agree must cease using the Platform immediately.
